Moodesk End User License Agreement

Effective date: 2026-05-17

This End User License Agreement (“Agreement”) is between you and Actondon UG (haftungsbeschränkt), doing business as Actondon (“Actondon,” “we,” “us,” or “our”), and governs your download, installation, and use of Moodesk for macOS (“Moodesk” or the “Software”).

By installing or using Moodesk, you agree to this Agreement. If you do not agree, do not install or use Moodesk.

1. License

Subject to this Agreement, Actondon grants you a limited, non-exclusive, non-transferable, revocable license to install and use Moodesk on Apple-branded Mac computers that you own or control.

Moodesk is licensed, not sold. Actondon and its licensors retain all rights, title, and interest in and to the Software, including all intellectual property rights.

2. Trial and Paid License

Moodesk may include a free trial. After the trial, continued use of the Software’s main functionality requires a paid lifetime license.

A lifetime license is a one-time purchase for continued use of Moodesk without a subscription, subject to this Agreement. We may provide updates, fixes, and compatibility improvements, but the license does not guarantee every future feature, separate product, or indefinite compatibility with future macOS versions.

A paid license may be subject to an activation limit. Unless otherwise stated at purchase, one license may be activated on up to one Mac.

3. Account and Purchase Processing

Moodesk does not require an Actondon account for normal use.

Purchases may be processed by Stripe or another payment provider. Payment providers may collect and process payment information under their own terms and privacy notices. Actondon does not store your full payment card details in the Moodesk app.

4. Permitted Use

You may use Moodesk for personal or internal business purposes.

You may not:

copy, modify, distribute, sell, lease, sublicense, or host Moodesk except as expressly allowed by this Agreement;
reverse engineer, decompile, or attempt to derive the source code of Moodesk, except where applicable law permits this despite the restriction;
bypass, disable, or interfere with licensing, activation, update, or security features;
use Moodesk to violate law, infringe rights, or gain unauthorized access to systems or data;
use Moodesk in safety-critical, emergency, medical, or high-risk environments where failure could cause injury, death, or serious damage.

5. macOS Permissions and System Changes

Moodesk is a macOS menu bar utility that can apply Desktop-specific behavior, such as Dock, menu bar, appearance, scripts, Shortcuts, and related automation settings.

Some features require macOS permissions, including Accessibility and Automation permissions. These permissions are controlled by macOS. If you do not grant them, some features may not work.

You are responsible for reviewing and testing any rules, scripts, Shortcuts, commands, or environment values you configure in Moodesk. Actondon is not responsible for user-created automation content or the effects of commands, scripts, Shortcuts, or system changes you choose to run.

6. Local Configuration and Privacy

Moodesk stores Desktop rules, scripts, Shortcuts settings, environment values, and app preferences locally on your Mac during normal use.

Moodesk may contact Actondon services for trial, licensing, purchase, purchase recovery, license activation, and software update features. Moodesk may also use crash reporting if enabled. Details are described in the Moodesk Privacy Policy: https://actondon.com/apps/moodesk/privacy-policy

The Privacy Policy is incorporated into this Agreement by reference.

7. Updates

Moodesk may check for and install software updates. Updates may add, modify, or remove features, and may be required for compatibility, reliability, licensing, or security.

We may stop supporting older versions of Moodesk or older macOS versions where continued support is no longer practical.

8. Third-Party Components and Services

Moodesk may include or interact with third-party components and services, including payment processing, software update delivery, and crash reporting. Those services may be subject to their own terms and privacy notices.

You agree to comply with any applicable third-party terms when using Moodesk.

9. Feedback

If you send ideas, bug reports, suggestions, or other feedback, you grant Actondon a worldwide, royalty-free, perpetual license to use that feedback to improve Moodesk and related products, without obligation to compensate you.

10. Termination

This Agreement remains in effect until terminated.

You may terminate it by deleting Moodesk from your Macs. Actondon may terminate or suspend your license if you materially breach this Agreement, misuse the Software, or attempt to bypass licensing or activation controls.

After termination, you must stop using Moodesk and delete all copies in your possession or control. Sections that by their nature should survive termination will survive, including ownership, warranty disclaimers, liability limits, and governing law.

11. Disclaimer of Warranties

Moodesk is provided “as is” and “as available.” To the maximum extent permitted by law, Actondon disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free operation.

Moodesk depends on macOS behavior, system permissions, and Apple APIs or system components that may change. We do not warrant that Moodesk will work with every macOS version, system configuration, Desktop layout, display setup, script, Shortcut, or third-party app.

Nothing in this Agreement limits any mandatory consumer rights that cannot be waived under applicable law.

12. Limitation of Liability

To the maximum extent permitted by law, Actondon will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or system misconfiguration, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, Actondon’s total liability for all claims relating to Moodesk or this Agreement will not exceed the amount you paid for your Moodesk license during the twelve months before the claim arose.

Some jurisdictions do not allow certain exclusions or limits of liability. In those jurisdictions, the limits apply only to the maximum extent permitted by law.

13. Export and Legal Compliance

You must comply with all applicable laws when using Moodesk, including export-control, sanctions, privacy, and computer-misuse laws. You may not use or export Moodesk where doing so is prohibited by law.

14. Changes to This Agreement

We may update this Agreement from time to time. If we make material changes, we will provide notice through the website, the Software, or another reasonable method. Continued use of Moodesk after the effective date of the updated Agreement means you accept the updated Agreement.

15. Governing Law and Venue

This Agreement is governed by the laws of Germany, excluding conflict-of-law rules.

Any dispute arising from or relating to this Agreement or Moodesk will be resolved in the courts of Berlin, Germany, unless mandatory consumer-protection law gives you the right to bring claims elsewhere.
